Terms & Conditions of Sale
1. Definitions
In these Conditions the following words have the following meanings:
- “Company”: Pyramid Trading Ltd, trading as Pyramid Steel, GCS Steel, Beverley Steel, Pyraweld Supplies and Rent-free Gas, registered in England and Wales (company number 2361944), registered office: 155 High Street, Aldershot, Hampshire GU1 1TT, main trading address Rotunda Estate, Aldershot GU11 1TG, VAT number GB 641 57748 31.
- “Contract”: any contract between the Company and the Customer for the sale and purchase of the Goods incorporating these Conditions.
- “Customer”: the company, firm or person who agrees to buy the Goods.
- “Day”: a day when the main lending banks in England and Wales are open.
- “Delivery Point”: location specified in the quotation/order confirmation.
- “Goods”: goods supplied by the Company (including parts).
- “Price”: purchase price stated in quotation/order confirmation.
- “Special Delivery Goods”: Goods marked “Special Delivery” for timed delivery.
- “Special Delivery Charge”: fee for Special Delivery.
- “Special Purchase Goods”: Goods specifically sourced/modified and marked “SP”.
2. Formation of the Contract
2.1 The Contract is the entire agreement.
2.2 These Conditions override any other terms.
2.3 Statements by employees (other than directors) are not binding unless confirmed in writing by a director, including:
- 2.3.1 variation of terms
- 2.3.2 advice/representations/guarantees
- 2.3.3 delivery guarantees (except Special Delivery)
2.4 Customer order = offer; Company acceptance forms the Contract.
3. Prices
3.1 Quotations valid for 30 days unless stated.
3.2 Price excludes:
- Packaging/delivery
- Test certificates
- VAT/custom duties
3.3 Additional charges may apply for drawings/designs.
3.4 Price may increase before delivery due to:
- Raw material costs
- Currency fluctuations
- Alloy surcharges
(24 hours’ notice required)
3.5 Cancellation allowed only if increase exceeds 10%.
4. Materials
4.1 Orders subject to availability.
4.2 Company may vary materials if equivalent or better.
4.3 Special Purchase Goods are non-returnable/cancellable.
5. Payment
5.1 Payment required before delivery unless credit agreed.
5.2 Credit facility (if granted):
- 5.2.1 Supply up to credit limit
- 5.2.2 Suspension if exceeded
- 5.2.3 Payment due end of following month
- 5.2.4 Company may withdraw credit anytime
5.3 If unpaid:
- 5.3.1 Interest: 2% per month
- 5.3.2 Withhold supply
- 5.3.3 Allocate payments at discretion
- 5.3.4 Demand immediate payment
- 5.3.5 Terminate contracts
5.4 No withholding payment by Customer.
5.5–5.7
- Company has lien over goods
- Right of set-off
- Legal costs recoverable
6. Delivery
6.1 Delivery occurs when unloading begins or goods collected.
6.2 Subject to Company policies.
6.3 Signed delivery note = proof of delivery.
6.4 Delivery times are estimates.
6.5 Customer may rescind after delay (with notice).
6.6 Compensation limited to twice delivery charge.
6.7 Delivery may be in instalments.
6.8 No liability for indirect/consequential losses.
6.9–6.10
- Company may refuse unsafe delivery locations
- Customer responsible for unloading
6.11 Failed delivery:
- Risk passes to Customer
- Goods deemed delivered
- Storage costs apply
- Goods may be resold after 5 days
6.12 Returns (non-SP goods only):
- Original condition/packaging
- Notify within 5 days
- Return procedures vary by delivery type
- Handling charge may apply
6.13 Failure to accept delivery → 25% handling fee.
7. Property & Risk
7.1 Ownership remains until:
- Paid in full
- Incorporated into other goods
- Processed/manufactured
7.2 Company may recover unpaid goods.
7.3 Customer obligations before payment:
- Hold goods as bailee
- Keep separate/identifiable
- Maintain and insure
- Provide information
7.4–7.5
- Resale on own behalf
- Risk passes on delivery
7.6–7.9
- Payment enforceable before ownership transfer
- Insurance required
- Rights survive termination
8. Acceptance
Goods deemed accepted unless defects reported:
- 8.1.1 Within 5 days (inspection defects)
- 8.1.2 Within 24 hours (carrier delivery)
- 8.1.3 Within 6 months (hidden defects)
8.2 Returns not admission of liability.
9. Specification
9.1 Goods of satisfactory quality and match description.
9.2 Quantity tolerance: ±10%.
9.3 Standards: British/European where applicable.
9.4 No guarantee of suitability for purpose.
9.5 Implied warranties excluded (business purchases).
9.6 Company not responsible for Customer-provided designs.
10. Defects
If defective:
- Refund/credit + return costs OR
- Replacement goods
11. Company Liability
11.1 No liability except as stated.
11.2 No responsibility for suitability advice.
11.3 No liability for transport damage due to Customer specs.
11.4 Exceptions:
- Death/personal injury
- Legal obligations
- Fraud
11.5 Liability limited to Price; excludes:
- Loss of profit
- Loss of business
- Indirect/consequential loss
12. Force Majeure
Company may delay/cancel due to uncontrollable events (e.g. war, strikes, supply issues).
Customer may terminate if >28 days.
13. Non-Primes
- Sold “as seen” with no warranty
- No liability or replacement
- Customer indemnifies Company
- Must pass similar terms on resale
14. Insolvency
If Customer becomes insolvent:
- Company may terminate/suspend
- Payment becomes immediately due
- Possession rights terminate
15. Assignments
- Customer cannot assign without consent
- Company may assign/subcontract
16. Intellectual Property
Customer indemnifies Company against IP infringement claims.
17. Data Protection
- GDPR compliance
- Credit checks may be performed
- Data may be transferred outside EEA
18. General
Includes:
- Severability
- No waiver of rights
- English law jurisdiction
- Right to amend conditions
19. Notices
- Customer must notify Company at Aldershot address
- Notices valid via website/email/post
20. Written Communications
- Communication primarily electronic
- Legally valid
21. Quality Statement
- ISO 9001:2015 & BS EN ISO 1090-2:2018 compliance
- Material codes:
- A = traceable QA
- B = QA
- O = non-QA
22. CE (UKCA) Marking and CPR
- Customer responsible for specifying CE requirements
- Company applies marking only if instructed
- No liability for marking correctness
- Certification passed through if no marking applied
